Is Raiser, LLC actually Uber?

Many New Jersey Uber drivers might be confused about who they actually work for and who pays them. Judging from their bank statements, they may think that they are paid by a company called Raiser, LLC. As it turns out, Uber’s corporate structure is somewhat complicated. The company markets itself as a single company that has a simple corporate structure, however, that is not the case.

Uber’s corporate structure consists of a complex web of subsidiaries and holding companies. Uber drivers may have noticed that their payments show up as being from “Raiser LLC,” or any other number of companies.

What is Raiser LLC?

Raiser LLC is a wholly owned subsidiary of Uber, which makes Uber the holding company of Raiser LLC. In some areas, Raiser is called “Rasier” LLC. Many Uber drivers do not know why this company is the company that pays them. Raiser LLC handles all of the payment transactions to Uber drivers. While most drivers refer to themselves as “Uber drivers,” they actually drive for Uber in a legal sense.

Uber has specific reasons for creating a specific corporate structure. Due to several class action lawsuits and other legal issues, Uber created a separate company to deal with the drivers, who actually are not employees, but are considered independent contractors. Having a subsidiary company deal with New Jersey driver issues protects Uber from direct litigation by the drivers when Uber is alleged to treat the drivers unfairly, such as treating them like employees, yet not providing proper benefits or using a pricing model that actually cheats the drivers. When people sue Uber, they are actually suing Raiser, LLC.

It is not illegal for Uber to protect itself with this type of corporate structure. Many companies use the same tactics. This allows companies such as Uber to operate all over the world, dealing with regional or local laws and regulations separately. Here are some other Uber subsidiaries and their functions:

  • Raiser-CA LLC, which serves the same function as Raiser;
  • Uber B.V., which Uber uses for doing business outside of the U.S.;
  • Uber International C.V., a Dutch company that owns Uber B.V., yet is registered in Bermuda, which is a popular tax haven in order to save on paying corporate taxes; and
  • Neben LLC, a company registered in Delaware that controls Uber International C.V.

How Raiser, LLC Affects Uber Drivers

Obviously, one of the main effects that Raiser, LLC has on Uber drivers is that whenever there is a dispute over wages or payments or employment status, New Jersey Uber drivers cannot sue Uber; rather they would have to sue Raiser, LLC. Also, when filing their tax returns, they would need to get a W-9 from Raiser, LLC in order to properly file their tax return and pay taxes on the money earned driving for Uber.

Suing Uber

  • Once an Uber driver accepts a passenger, they must have a commercial car insurance policy with at least $1.5 million in liability coverage for death, bodily injury and property damage. They must also provide uninsured/underinsured motorist coverage in an amount of at least $1.5 million, which covers all who occupy the vehicle if another motorist causes an accident and does not have any insurance, or does not have sufficient insurance. An Uber driver must maintain liability insurance for at least $50,000 for death or bodily injury, per person, and $100,000 for death or bodily injury per incident, and $25,000 for property damage.
